Herbert Smith Freehills’ Venture Capital team has advised Culture Amp on its acquisition of Orgnostic, a US/Serbian people analytics startup.

Orgnostic’s data will enhance Culture Amp’s platform to deliver improved analytics and rapid workforce insights as part of Culture Amp’s new People Analytics product, which will be rolled out later in 2024.

Herbert Smith Freehills advised on Australian law aspects of the transaction and associated capital transactions. Culture Amp were advised by Wilson Sonsini Goodrich & Rosati in the US.

The Herbert Smith Freehills team was led by partner and Co-Head of Venture Capital (Australia) Elizabeth Henderson, and solicitors Vincent Greco Schwartz and Anne Hu, with support from Co-Head of Venture Capital (Australia) Claire Thompson.

Elizabeth Henderson, partner and co-Head of Venture Capital (Australia) at Herbert Smith Freehills, said, “We very much enjoyed assisting with Culture Amp’s General Counsel, Sarah Tinsley, and the rest of the Culture Amp team on this transaction and congratulate Culture Amp and Orgnostic on coming together to build an even more compelling offering.”

Sarah Tinsley, Culture Amp General Counsel and Company Secretary, said, “As always, Elizabeth and the HSF team were responsive, innovative and commercial in their support of our acquisition, particularly in relation to the inevitable (and tricky) issues that arise in a multi-jurisdictional deal. We greatly value the partnership and HSF’s deep understanding of our business.”
